Terms of Service

These Terms of Service ("Terms") govern your use of the VX Workflow service at usevx.com (the "Service"), operated by VX Workflow LLC ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

VX Workflow is a subscription video-editing service. You upload raw footage and a brief; we edit it and deliver finished video files through your account dashboard. Each subscription plan includes a set number of edits ("slots") per billing period.

2. Accounts

You must be at least 18 years old and authorised to enter into contracts to use the Service. You're responsible for keeping your login credentials secure and for all activity that happens under your account. Tell us immediately at support@usevx.com if you suspect unauthorised access.

3. Plans, billing, and cancellation

Plan pricing and inclusions are listed at /pricing. All prices are quoted and charged in United States Dollars (USD) regardless of your country. Your bank may apply its own foreign exchange conversion to your local currency, we don't control or receive any portion of those fees. We may change pricing on notice, your existing billing period is honoured at the price you signed up for; the new price applies from the next renewal.

Payment is handled by Stripe. Subscriptions renew automatically until cancelled. You can cancel anytime from the in-app billing portal; cancellation takes effect at the end of the current billing period and your unused slots expire at that point. Refunds for partial periods are not offered except where required by applicable law.

If a payment fails, your subscription is marked past-due and we send you a notification. Stripe automatically retries the payment over the following week. If all retries fail, your subscription is cancelled and your workspace reverts to our Free Forever plan (your files and team remain, only the monthly edit allowance is removed).

4. Your content + IP ownership

You retain all ownership of the raw footage and other material you upload ("Your Content"). By uploading, you grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, modify, and process Your Content solely for the purpose of providing the Service to you (which includes editing, encoding, delivering finished cuts, and retaining backups).

Once we deliver a finished edit, you own the resulting video files and may use them however you like. We may showcase anonymised samples of delivered work in our own marketing (for example, on our Learn pages or social media); email support@usevx.com if you'd prefer we exclude your work from marketing.

You warrant that Your Content does not infringe anyone else's copyright, trademark, privacy, publicity, or other rights, and that you have all permissions needed for us to edit and publish it on your behalf.

5. Acceptable use

You agree not to use the Service to:

• upload or request edits of unlawful, defamatory, harassing, hateful, or sexually exploitative content;
• upload malware, viruses, or anything that could damage our systems or other users;
• reverse engineer, scrape, or attempt to access the Service or other users' data outside the documented features;
• resell or rebrand the Service as your own (white-label arrangements are available, email us).

We may suspend or terminate accounts that breach this section. For serious or repeated breaches we may do so without refund.

6. Availability + turnaround

We aim for typical edit turnaround of 24-48 hours but don't guarantee any specific timeframe. The Service may be unavailable for scheduled maintenance, third-party outages (e.g. Stripe, Supabase, Cloudflare), or causes beyond our control. We will make reasonable efforts to notify you of significant planned downtime.

7. Warranties + liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we exclude all implied warranties.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, or loss-of-profit damages.

8. Termination

You may cancel your subscription anytime as described in section 3. We may terminate or suspend your account immediately if you breach these Terms. On termination, your right to use the Service ends; we retain backups for a limited period consistent with our Privacy Policy before deletion.

9. Changes to these Terms

We may update these Terms from time to time. We'll post the updated version here and refresh the "last updated" date at the top. For material changes (e.g. new fees, expanded data uses) we'll email registered account holders at least 14 days before the change takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.

10. Governing law + disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware. We'll always try to resolve disputes informally first, email support@usevx.com and we'll get back to you.
